          Welcome to the Affiliate resource page of CBS Interactive Inc. and its affiliated entities (together, "CBSi," "us," or "we").  The terms and conditions below ("Terms") govern your use of any digital content made available by us, including the Feed Content and the Social Content (collectively, "Content").
          Before using any Content, please review these Terms carefully.  By using Content, you represent and warrant that you are an Affiliate of CBS Television Distribution for the applicable television series ("Series") and you agree to adhere to these Terms.  If you are not an Affiliate and/or if you do not agree to these Terms, you may not obtain or use any Content.
          Affiliate.  An "Affiliate" means an entity that has a valid, unexpired program license agreement with CBS Television Distribution for over-the-air broadcast rights to the Series during the Series' then-current broadcast season.
          Changes.  These Terms are effective as of the Effective Date above and may be changed by us from time to time without notice.  You are responsible for periodically reviewing these Terms before using any Content.  If you do not agree with any changes to these Terms, your sole remedy is to refrain from using any Content and to take down any Content used by you.  If you continue to use any Content after we change these Terms, you accept all changes.
          Use.  You may not use, obtain, ingest or distribute Content except as expressly permitted herein.  You may use Content only in its entirety.  You may not modify, edit or alter any Content, including (without limitation) any branding, copyright notice, trademark, or other symbol, notice, credits, byline, or billings incorporated therein.  You agree to adhere to any brand guidelines communicated by us to you from time to time.
          You may not place or sell any advertising in connection with any Content.  We will place our own advertising within the Content.  You shall not have or acquire any ownership interest in or to any Content or any advertising within the Content.  You may not license or sublicense Content to anyone.  You may not use Content for any commercial tie-in or merchandising effort.  You may not use Content as an express or implied endorsement of, or testimonial for, any party, product, service, or sponsor.  You may not use Content to embarrass or disparage the Series, any person, or us (including, without limitation, our employees).
          We may discontinue making Content available at any time for any reason or for no reason at all.  If we request that you take down or stop using Content, you shall fully and immediately comply with such request and thereafter confirm the same to us in writing.
          Your license to use Content is revocable at our sole discretion.  Your license may not be assigned by you, in whole or in part, either voluntarily or by operation of law, without our prior written consent.  Any assignment or attempted assignment by you contrary to the foregoing shall be null and void and shall be a breach of these Terms.  If you cease to be an Affiliate, your license automatically terminates and you must immediately take down all Content used by you.
          You shall adhere to any additional restrictions (including rights restrictions) communicated by us from time to time, including (without limitation) within any Content metadata.  Without limiting the foregoing, to the extent an expiration date for Content is communicated to you (including via metadata), you agree to refrain from using and to take down such Content by such date.
          Remedies.  If you breach any of the Terms, we have the right, but not the obligation, to obtain injunctive or other equitable relief, without prejudice to any of our rights and remedies hereunder at law, in equity, or otherwise.  You agree that no bond or other security shall be required for us to obtain such relief.
          RSS/XML Feeds.  We may make Content available via RSS, XML or other feed (each a "Feed").  You may use such Feeds to post such Content only to your Affiliate-branded, owned and operated website ("Your Website").  You must automate your ingestion system to obtain a refreshed feed at least three times per hour in order to pick up changes or updates, which must be immediately implemented on Your Website.  If you use the Feed, you must add a link element with the attribute rel="canonical" to the head section of every Content article posted on Your Website.  The canonical URL specified in each such Content article should be unique according to the source URL provided in the Feed.  Further details on how to use canonical URLs can be located here, https://support.google.com/webmasters/answer/139066.  You will not engage in search engine optimization activities related to the Content and will always identify CBS Interactive as the original source of the Content to search engine bots, crawlers or other indexing mechanisms.  Any video Content made available to you pursuant to this Paragraph must be displayed only within our embedded video player.  You cannot display an article distributed to you pursuant to this Paragraph without the associated video. The content made available by us via a Feed shall be referred to as the "Feed Content".
          Facebook.  We may post Content on our Series' Facebook page.  You may Share or (if authorized by us) Crosspost such post on your Affiliate-branded Facebook page or Embed such post on Your Website.  (To Share, click the Share button.  To Embed, click Embed and then copy and paste the correct code.  To Crosspost, you first need to establish a Crossposting relationship with our Series Facebook page.)  You may also post a link (and only a link) on your Affiliate-branded Facebook page to Feed Content appearing on Your Website pursuant to the RSS/XML Feeds paragraph above or another source explicitly approved by us.
          Twitter.  We may Tweet Content on our Series' Twitter feed.  You may Retweet such Tweet on your Affiliate-branded Twitter feed or Embed such Tweet on Your Website.  You may also post a link (and only a link) on your Affiliate-branded Twitter feed to Feed Content appearing on Your Website pursuant to the RSS/XML Feeds paragraph above or another source explicitly approved by us.
          YouTube.  We may post Content on our Series' YouTube channel.  You may Share such post on your Affiliate-branded Facebook or Twitter accounts.  You may Embed such post on Your Website.  To Share, click the Share button.  To Embed, click Embed and then copy and paste the correct code.
          The content made available by us via Facebook, Twitter and YouTube shall be referred to as the "Social Content".
          General.  The titles of the paragraphs of these Terms are for convenience only and shall not in any way affect the interpretation of these Terms or any paragraph thereof.
